Terms of Service

What this document does
These terms govern the relationship between you (the client) and TechCore IT Solutions. Specific commercial details (scope, fees, milestones) live in your Statement of Work or Managed Services Agreement; this document sets out the surrounding legal framework.
TechCore provides IT services as described in Statements of Work (SOW) or Managed Services Agreements (MSA). All services are subject to the agreed scope, deliverables, and SLAs.
Managed services bill monthly in advance. Project work bills per milestone as agreed in the SOW. Invoices are due Net-30. Late payments accrue interest at the lesser of 1.5%/month or the legal maximum.
TechCore’s aggregate liability is limited to the fees paid in the preceding three months. We are not liable for indirect, incidental, or consequential losses. Standard exceptions apply for gross negligence, willful misconduct, and IP indemnity.
Pre-existing IP remains with each party. Work product created under an SOW is assigned to the client upon full payment; TechCore retains a royalty-free license to use generalised know-how.
Each party agrees to protect the other’s confidential information using the same standard of care it applies to its own (and no less than reasonable care).
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Hardware passes through manufacturer warranties; software passes through licensor warranties.
Either party may terminate a managed-services agreement with 30 days written notice. Project agreements may be terminated per the cancellation terms in the SOW. On termination, we hand over data, credentials, and documentation in full.
These terms are governed by the laws of the State of California. Disputes are subject to the exclusive jurisdiction of the courts of San Francisco County, California.
